Terms of Service

1. About these terms

These Terms of Service ("Terms") govern the services that PawPixel Creatives LLC, a New Mexico limited liability company ("PawPixel", "we", "us"), provides to you, the client. By accepting a proposal or quote, paying an invoice, or using our services, you agree to these Terms.

The written proposal or quote for your work ("Quote") sets out the scope, deliverables, fees and timing. If the Quote conflicts with these Terms, the Quote takes priority for that work.

2. Our services

We provide marketplace advertising management, account management, listing optimization, A+ content, listing image design, packaging and brand design, and related services for Amazon, Walmart Marketplace, Shopify and TikTok Shop, as described in your Quote. Work outside the Quote is quoted separately before we start it.

3. Your responsibilities

  • Give us accurate information, timely feedback and approvals.
  • Grant access through each platform's official user permissions, and keep ownership and control of your accounts.
  • Make sure the materials you give us, such as photos, logos, text and claims, are yours to use.
  • Make sure product information and claims are true and lawful. You are responsible for label content, regulatory statements and the claims you ask us to use.
  • Keep your marketplace accounts in good standing and follow each platform's policies.

4. Fees and payment

  • Fees, payment terms and due dates are set out in your Quote and invoices. Prices are in US dollars unless the Quote says otherwise.
  • Monthly services are invoiced monthly. If an invoice is overdue, we may pause work until it's paid.
  • Fees don't include taxes, platform fees or third-party costs such as ad spend, apps, fonts or stock assets, unless the Quote says so.
  • Ad spend is billed by each platform directly to you. We don't hold or pay your advertising budget.

5. Term and cancellation

  • Monthly services continue month to month until either of us cancels with 30 days' written notice by email.
  • Projects end when the deliverables in the Quote have been delivered.
  • Refunds are handled under our Refund and Cancellation Policy.
  • We may end our services right away if fees remain unpaid after notice, or if continuing would require us to break the law or a platform's policies.

6. Results

Marketplaces control their search rankings, advertising auctions, policies and approvals, and they change them without notice. We don't guarantee specific sales, rankings, advertising results or approvals. We commit to doing the work described in your Quote with care and skill, and to reporting honestly on it.

7. Intellectual property

  • Your materials remain yours. You allow us to use them to provide the services.
  • Once you've paid in full, you own the final deliverables we create for you, such as final images, copy and packaging artwork.
  • We keep ownership of our own methods, templates, tools and know-how, and of drafts and concepts you didn't select.
  • We may show completed work in our portfolio and marketing materials unless you ask us in writing not to.

8. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the engagement. This doesn't apply to information that is already public, that the other party already knew, or that the law requires to be disclosed.

9. Data

We handle personal information and marketplace data as described in our Privacy Policy, and we follow the data protection policies of the marketplaces we work in.

10. Third-party platforms

Amazon, Walmart, Shopify, TikTok and other platforms are independent companies. PawPixel is not affiliated with, endorsed by or sponsored by any of them. Their decisions, outages, policy changes and account actions are outside our control.

11. Limitation of liability

To the extent the law allows, neither of us is liable for indirect or consequential losses, such as lost profits, lost sales or lost data. Our total liability for any claim relating to our services is limited to the fees you paid us for those services in the three months before the claim arose.

12. Work ordered through freelance platforms

If you hire us through a third-party freelance platform, that platform's terms on payment, refunds and disputes apply to the work ordered there, together with these Terms wherever they don't conflict.

13. Governing law

These Terms are governed by the laws of the State of New Mexico, United States. We'll always try to resolve any disagreement directly and in good faith first.

14. Changes to these terms

We may update these Terms. Changes apply to new Quotes, and to ongoing services from the start of the next billing month after we tell you about them.
